Merger Press Release

The Board of Directors of The Matthews Group, Inc. recently announced a plan to merge the two corporations of Rifled Air Conditioning Systems, Inc. and Matthews Distributor Services, Inc. d/b/a Bus Depot. As of January 1, 2004 operations began as one company under the corporate name of Rifled Air Conditioning Systems, Inc. The new corporate offices are located at 6116 Old Mendenhall Road in Archdale, North Carolina.

Our goal in this merger is to make the products and services offered by each entity more competitive by combining our resources. The new Rifled Air Conditioning Systems, Inc. will stock a full line of bus A/C products available for immediate ship-out or factory installation at wholesale prices. RAC will market factory A/C installations and service under the Bus Depot name. Bus Depot will, also, continue to offer aftermarket options to meet the bus dealer's needs for special applications not offered by the vehicle manufacturers.

We would like to thank all of our customers for their past and future support. We must change with our industry in order to guarantee our customers that by using RAC products and services they will be more competitive in their markets. Our commitment is to manufacture and to install the highest quality A/C products and services, at the best price available that will lead RAC and our customers to the forefront of the marketplace. This changes means our customers will be more competitive than ever and in the end sell more buses than before!

What the Merger Means to You

We are extremely excited about the merger and what it means to our customers! The decision for making this merger was based largely on our commitment to our customers to offer pricing & products that will make them competitive leaders in their respective markets - now and in the future. In merging the two companies we basically cut out "the middle man" by providing a/c installations direct from the factory. This reduction in overhead is being passed directly to our customer base in the form of a significant reduction in price on all a/c system installations. Every a/c system has been reviewed and re-priced. We're certain this new a/c installation pricing will make a statement in the industry!

The new a/c pricing has been made easier to order & specify. It will now include the compressors and mount kits in the system pricing instead of being specified as two separate items as we have in the past. There will also be new option numbers that make it obvious the a/c system being specified and ordered is a quality RAC system.

We're very excited about the merger and what is means to RAC and our customers. We're stronger than ever before are looking forward to the future and what it holds. With our quality products & services, our dedicated personnel and our newly revised pricing, RAC is set to move to the forefront of the marketplace!
